Legal Counsel – Metals Trading

Provide legal support to front office teams across the full trade cycle, with a primary focus on drafting, reviewing and negotiating trading contracts for physical metals transactions.

Draft and negotiate sales and purchase agreements, term contracts, spot deals, storage agreements, transportation contracts, collateral arrangements, security documents and side letters.

Ensure all trading documentation is fully compliant with company policies, regulatory requirements, sanctions rules, KYC obligations and internal risk standards.

Advise commercial teams on contractual risk, exposures, liability allocation, governing law issues, damages, indemnities and remedies.

Support the business on disputes, claims, quality/quantity issues, shipping delays and operational incidents, coordinating with external counsel where required.

Review counterparty terms and propose amendments to safeguard the company’s commercial position and minimise legal and financial risk.

Maintain and update contract templates, clause libraries, signing processes and documentation governance across the trading business.

Provide guidance to traders, operations and risk teams on contract interpretation, performance issues and contractual rights/obligations.

Support new market entries, new product structures and complex trading arrangements, including structured deals or secured transactions.

Collaborate with compliance, risk, finance and operations to ensure consistent contract standards and alignment across the business.

Monitor changes in relevant laws and regulations affecting international trade, metals markets, logistics and sanctions, advising the business on required updates.

Manage external counsel efficiently and cost-effectively when specialist legal support is needed.

Contribute to internal training on contracts, disputes, best practices and evolving legal risks within physical trading.
